Terms
These Terms of Service apply to SubBridge — a macOS desktop application and accompanying browser extension. By downloading, installing, or using SubBridge, you accept these Terms of Service and our Privacy Policy. If you do not accept them, do not download or install SubBridge, and uninstall it if you have already done so.
SubBridge is currently in public Beta and distributed free of charge. These Terms describe SubBridge as it exists during the Beta. Future versions may introduce paid features under updated Terms — see Changes to these terms.
1. Definitions
- SubBridge or the Software — the SubBridge macOS desktop application (distributed as a direct DMG download from GitHub Releases and through the Mac App Store) together with the SubBridge browser extension (Chromium MV3, published in the Chrome Web Store with permanent ID
pghapiadaoacpclgglmbapnlgeekchil), treated as a single companion product. The browser extension is governed by these Terms together with the Privacy Policy; where Chrome Web Store policies impose stricter requirements (for example, on permissions or user-data disclosure), those requirements take precedence over these Terms with respect to the extension. Mac App Store copies are subject to the additional terms in General. - Owner, we, or us — Makar Mishchenko, acting as an Individual Entrepreneur (Sole Trader) registered with the National Agency of Public Registry of Georgia under registration number B24047457 (personal ID 145939205), with registered address at King Tamar Avenue N22a, apt. 143, Batumi, Georgia. General contact: support@subbridge.app.
- You or User — the natural person who downloads, installs, or uses SubBridge.
- Beta — the current public-beta phase of SubBridge, during which the Software is distributed free of charge.
2. License and permitted use
License grant. We grant you a non-exclusive, non-transferable, worldwide, royalty-free license to install and use SubBridge during the Beta. The license is personal to you and does not include the right to redistribute the Software.
Permitted use. You may install and use SubBridge for your personal use and for use in your own business, freelance, or educational activities — provided you do not redistribute the Software, sublicense it, or commercially exploit the Software itself (for example, by reselling it or repackaging it as a paid product).
Eligibility. You must be at least 13 years old to use SubBridge. If you are under the age of majority in your country, please use SubBridge only with the involvement of a parent or guardian. Where the law of your country of habitual residence sets a higher minimum age for online services or for consenting to the processing of personal data (for example, 16 under Article 8 GDPR in some EU member states), that higher age applies for the relevant service — including signing up for the waitlist on subbridge.app.
Restrictions. You agree not to:
- modify, decompile, reverse-engineer, or disassemble the Software, except to the extent applicable law expressly permits this and only within those limits;
- redistribute, sublicense, sell, rent, or lease the Software or copies of it;
- remove or alter any copyright, trademark, or other proprietary notices;
- use the Software's binaries, source code, or proprietary assets (icons, copy, design files) to create a directly competing product or service;
- circumvent any technical limitations or the update mechanism.
We reserve all rights not expressly granted to you here.
3. Subtitle files
Subtitle files you provide. SubBridge lets you load subtitle files (.srt, .vtt) from your own device. SubBridge does not host, distribute, store, transmit, or copy subtitle files between users. Subtitle files you load are processed locally on your device and never reach our servers.
Your responsibility. You are solely responsible for the legality of any subtitle files you load into SubBridge, including ensuring that you have the necessary rights or licenses under the laws that apply to you. Do not use SubBridge to load subtitle files you do not have the right to use.
Copyright complaints. SubBridge is a tool, not a hosting platform. We do not control or have access to any subtitle file you load. If, despite this, you believe the Software (its code or distribution) infringes your copyright, you may send a notice to privacy@subbridge.app containing:
- a description of the copyrighted work you believe is being infringed;
- identification of the material claimed to be infringing and information reasonably sufficient to permit us to locate it;
- your contact information (name, address, telephone, email);
- a statement that you have a good-faith belief that the use is not authorised by the copyright owner, its agent, or the law;
- a statement, made under penalty of perjury (or the equivalent in your jurisdiction), that the information in the notice is accurate and that you are the copyright owner or authorised to act on the owner's behalf;
- your physical or electronic signature.
We will review notices that meet these requirements and respond within a reasonable time, typically within 14 days. We may decline to act on notices directed at user-loaded subtitle files we do not host. Where the alleged infringement is hosted by a third-party platform (a streaming service, file-share, etc.), please direct your notice to that platform.
4. Beta software
SubBridge is currently a public Beta. That means:
- it may have bugs, crashes, or behavior that doesn't match the documentation;
- features may change, be removed, or work differently between releases;
- performance and stability are not guaranteed;
- we don't promise any service-level agreement (SLA), uptime, or specific support response time.
We're learning what works in real use. Reporting bugs and feedback to support@subbridge.app helps a lot. By using SubBridge during the Beta, you accept that things may not always work as expected.
5. Software updates
How updates reach you depends on how you obtained SubBridge.
Direct download (DMG). SubBridge can update itself automatically. By default, the desktop application periodically checks subbridge.app/appcast.xml and offers new versions for installation. The update check sends only the current version of SubBridge — no other identifying information. By using SubBridge with auto-updates enabled, you authorize the installation of these updates.
The update check is processed on the basis of our legitimate interests in keeping the Software secure and up to date (Article 6(1)(f) GDPR). The check involves a standard HTTPS request to subbridge.app/appcast.xml — your IP address is processed by our infrastructure provider (Cloudflare) only to deliver the response, and we do not log it for any other purpose.
You can disable auto-updates in Settings → Updates at any time. If you disable them, you'll keep your current version until you manually update. We recommend keeping auto-updates on during the Beta because we ship fixes frequently.
We may, in rare cases, ship a security-critical update that installs even when auto-updates are disabled. If we do, we'll explain the reason on subbridge.app or in-app.
Mac App Store. If you installed SubBridge from the Mac App Store, updates are delivered through Apple's standard App Store mechanism. The direct-download update process described above does not apply — Mac App Store copies do not connect to subbridge.app/appcast.xml.
Browser extension. The browser extension updates through the Chrome Web Store, following Chrome's standard update process. We don't control that timing.

6. Privacy
How we handle your data is described separately in our Privacy Policy. The short version: SubBridge runs locally on your device and does not send your data to our servers. The Privacy Policy is incorporated into these Terms by reference.
7. Disclaimers and liability
"As is." SubBridge is provided "as is" and "as available", without warranties of any kind, whether express or implied — including warranties of merchantability, fitness for a particular purpose, or non-infringement.
Limitation of liability. To the fullest extent permitted by applicable law, our total aggregate liability to you for any and all claims arising from or relating to SubBridge or these Terms is limited to the greater of (a) the total amount you have paid us for the Software in the twelve months preceding the event giving rise to the claim, or (b) ten US dollars (USD 10). Because SubBridge is distributed free of charge during the Beta, the amount under (a) is zero.
Damages excluded. To the fullest extent permitted by applicable law, we are not liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, or business interruption — even if we were advised of the possibility.
What we do not exclude. Nothing in these Terms excludes or limits our liability for:
- death or personal injury caused by our negligence;
- fraud or fraudulent misrepresentation;
- gross negligence or wilful misconduct;
- any other liability that, under the law that applies to you as a consumer, cannot be excluded or limited by contract.
Consumer rights preserved. If you are a consumer protected by mandatory consumer-protection laws (including, for EU consumers, Directive 2019/770 on the supply of digital content; for UK consumers, the Consumer Rights Act 2015), nothing in this section affects rights you have under those laws that cannot be waived by contract.
8. Termination
You can stop using SubBridge at any time by uninstalling it. There's nothing to cancel, and no fees are attached.
We may stop distributing or updating SubBridge at any time, with or without notice. We may also end the Beta or change its scope. If we make a change that materially affects your ability to use the Software, we'll try to give reasonable notice on subbridge.app or in-app — but we don't guarantee a specific notice period during the Beta.
If you breach these Terms, your license to use the Software ends automatically. The provisions of these Terms that by their nature should survive termination — including, without limitation, Definitions, Subtitle files, Privacy, Disclaimers and liability, Governing law, Changes to these terms, General, and Contact — will remain in force after termination.
9. Governing law
These Terms are governed by the laws of Georgia (the country), without regard to its conflict-of-law rules. Disputes that cannot be resolved informally will be brought before the competent courts of Batumi, Georgia.
Consumers. If you are a consumer (a natural person acting outside your trade, business, craft, or profession) resident in the European Union, the European Economic Area, the United Kingdom, or Switzerland:
- the choice of Georgian law in this section does not deprive you of the protection afforded to you by the mandatory provisions of the law of the country where you have your habitual residence (Article 6 of Regulation (EC) No 593/2008, "Rome I");
- you may bring proceedings against us in the courts of the country where you are domiciled, and we will only bring proceedings against you in those courts (Articles 17–19 of Regulation (EU) No 1215/2012, "Brussels I bis"; or, for UK consumers, the equivalent retained-EU jurisdictional rules and the Consumer Rights Act 2015).
If you are a consumer resident elsewhere and the law of your country of habitual residence grants you mandatory rights that cannot be waived by contract, those rights remain in full force despite anything in these Terms.
10. Changes to these terms
We may update these Terms from time to time. When we do:
- the new version becomes effective on the date shown at the bottom of this page;
- for material changes — including any introduction of paid features, subscriptions, accounts, new categories of personal-data processing, or changes that significantly reduce your rights — we'll notify you in-app or on subbridge.app before the change takes effect;
- if a material change requires explicit consent (for example, paid features), you'll be asked to accept the new Terms before using those features. You can decline and continue using the rest of SubBridge under the previous Terms, or stop using SubBridge altogether.
Continued use of SubBridge after a non-material change has become effective means you accept the change. If you don't agree with a change, please stop using SubBridge.
11. General
Mac App Store distribution. If you obtained SubBridge from the Mac App Store, the following additional terms apply to your copy:
- the licensor of SubBridge is Makar Mishchenko, not Apple Inc. ("Apple"). Apple is not a party to these Terms and has no obligation to provide maintenance or support for the Software;
- Apple makes no warranty regarding SubBridge;
- we — not Apple — are responsible for addressing any user claims about SubBridge, including product liability, intellectual property infringement, and consumer protection claims;
- Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, with the right to enforce them against you as a user of the Mac App Store version of SubBridge.
Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding SubBridge during the Beta and supersede any prior or contemporaneous agreements on the same subject matter.
Severability. If any provision of these Terms is held by a competent court or authority to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or, if it cannot be modified, severed from these Terms. The remaining provisions will continue in full force.
No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment. You may not assign or transfer your rights under these Terms. We may assign these Terms to a successor in connection with a merger, acquisition, or transfer of substantially all of our assets, with notice to you.
Notices. We may give you notices through the Software, on subbridge.app, or by email if you have provided us with one. You may give us notice at the addresses in Contact.

Authoritative version. These Terms are written in English. Translations are provided for convenience; in case of any conflict between the English version and a translation, the English version prevails — except where mandatory consumer law in your country of habitual residence requires the translated version to govern.
